It is located at A-5020 Salzburg, Borrom\u00e4umstr. 26\/7 and extends its activity<a href=\"#sdfootnote3sym\" name=\"sdfootnote3anc\"><sup>3<\/sup><\/a>\n<\/li>\n<\/ol>\n<ol start=\"3\">\n\n<\/ol>\nHauptzweck des Vereins erstreckt sich auf die Unterst\u00fctzung hilfsbed\u00fcrftigen Personen\nim Kontext des \u201eCode auf conduct&#8220; (international Federation of Red Cross and Red Crescent Societies)\n<ol start=\"4\">\n<li>\n4.The establishment of branch associations is intended.\n<\/li>\n<\/ol>\n<b>\u00a7 2: Purpose<\/b>\nThe association, whose activity is not aimed at profit, aims for<a href=\"#sdfootnote4sym\" name=\"sdfootnote4anc\"><sup>4<\/sup><\/a> ..\n<ul>\n<li>\nPromotion of medical assistance and its infrastructure\n<\/li>\n<li>\nPromotion of medical education, including first aid and pre-clinical emergency medicine \n<\/li>\n<li>\nPromotion of development aid, development and assistance with projects in the form of cooperation, organization and training, WASH projects, school projects\n<\/li>\n<li>\nPromoting rescue from mortal danger and \/ or humanitarian measures \/ disaster relief with the appropriate tools and vehicles and \/ or aircraft such as airplanes or helicopters\n<\/li>\n<li>\nPromotion of disaster and civil protection also in the form of training\n<\/li>\n<li>\nSupport for other associations and organizations that follow the same purpose\n<\/li>\n<li>\nPromoting neutrality in terms of ethnic origin, skin color, religion or political sentiment.\n<\/li>\n<li>\nJugend \u201eHilfe f\u00fcr Kinder in Not&#8220; im Inn- und Ausland\n<\/li>\n<li>\nHumanitarian aid at home and abroad\n<\/li>\n<li>\nUnterst\u00fctzung von \u201eFamilien in Not&#8220; im Inn- und Ausland\n<\/li>\n<li>\nAid transports\n<\/li>\n<li>\nSocial services at home and abroad\n<\/li>\n<\/ul>\nSocial services at home and abroad.\n<b>\u00a7 3: Means to achieve the purpose of the association<\/b>\n<ol>\n<li>\n1. The purpose of the association is to be achieved through the ideal and material means listed in paragraph 2 and 3.\n<\/li>\n<\/ol>\n<ol start=\"2\">\n<li>\n2. As ideal means serve:<a href=\"#sdfootnote5sym\" name=\"sdfootnote5anc\"><sup>5<\/sup><\/a><a href=\"#sdfootnote6sym\" name=\"sdfootnote6anc\"><sup>6<\/sup><\/a>\n<\/li>\n<\/ol>\n<ol type=\"a\">\n<li>\npublishing and sending of information documents and communications\n<\/li>\n<li>\nRegular contact between the members\n<\/li>\n<li>\nMeetings, conferences, lectures, training courses, meetings and other events\n<\/li>\n<li>\nWebsite or other electronic media\n<\/li>\n<\/ol>\n<ol start=\"2\">\n<li>\n3. The necessary material resources should be raised by<a href=\"#sdfootnote7sym\" name=\"sdfootnote7anc\"><sup>7<\/sup><\/a><a href=\"#sdfootnote8sym\" name=\"sdfootnote8anc\"><sup>8<\/sup><\/a>\n<\/li>\n<\/ol>\n<ol type=\"a\">\n<li>\nAdmission fees and membership fees\n<\/li>\n<li>\nSponsorship by companies, institutions or private persons\n<\/li>\n<li>\nSubsidies and promotion\n<\/li>\n<li>\nDonations, collections, bequests and other benefits\n<\/li>\n<li>\nAsset management (e.g., interest, other capital income, revenue \n<\/li>\n<li>\nfrom leasing and letting etc.)\n<\/li>\n<li>\nIncome from association events\n<\/li>\n<\/ol>\n<b>\u00a7 4: Types of membership<\/b>\n<ol>\n<li>\nThe members of the association are divided into ordinary, extraordinary and honorary members.\n<\/li>\n<\/ol>\n<ol start=\"2\">\n<li>\nOrdinary members are those who fully participate in the association's work. Extraordinary members are those who promote the activity of the association primarily by paying an increased membership fee. Honorary members are persons who are appointed for special services to the \nassociation.\n<\/li>\n<\/ol>\n<b>\u00a7 5: Acquisition of membership<\/b>\n<ol>\n<li>\n1. Members of the association can be all physical persons, as well as legal persons and legal partnerships<a href=\"#sdfootnote9sym\" name=\"sdfootnote9anc\"><sup>9<\/sup><\/a> , which are appointed on suggestion of the executive committee, committing themselves to the acknowledgment of the statute and actively work for the realization of the association goals. \n<\/li>\n<\/ol>\n<ol start=\"2\">\n<li>\nThe board decides on the admission of ordinary and extraordinary members. The admission can be refused without giving reasons.\n<\/li>\n<li>\nUntil the formation of the association, the provisional admission of ordinary and extraordinary members by the club founders takes place, in the case of an already appointed board through this. \n<\/li>\n<\/ol>\n<ol start=\"2\">\n<li>\n4. This membership becomes effective only with the formation of the association. If a board is only appointed after the formation of the association, the (definitive) admission of ordinary and extraordinary members will take place until then by the founders of the association. The appointment as an honorary member is made at the request of the Executive Board by the General Assembly.\n<\/li>\n<\/ol>\n<b>\u00a7 6: Termination of membership<\/b>\n<ol>\n<li>\n1. The membership expires by death, with legal entities and legal partnerships by loss of the legal personality, by voluntary resignation and by exclusion.\n<\/li>\n<\/ol>\n<ol start=\"2\">\n<li>\nThe resignation can only be made on 31st of December of each year. The board must be notified in writing at least three months in advance. If the announcement is delayed, it is only effective on the next withdrawal date. For the timeliness the date of the posting is decisive.<a href=\"#sdfootnote10sym\" name=\"sdfootnote10anc\"><sup>10<\/sup><\/a> .\n<\/li>\n<\/ol>\n<ol start=\"3\">\n<li>\nThe executive committee can exclude a member, if he despite a two-time written reminder by setting a reasonable period of grace for more than six months is in arrears with the payment of membership fees. The obligation to pay the due membership fees remains unaffected.\n<\/li>\n<\/ol>\n<ol start=\"4\">\n<li>\nThe exclusion of a member from the association can also be ordered by the executive committee for gross violation of other member obligations and dishonorable behavior.\n<\/li>\n<\/ol>\n<ol start=\"5\">\n<li>\nWithdrawal of honorary membership may be decided by the General Assembly on application of the Executive Board for the reasons stated in para.\n<\/li>\n<\/ol>\n<b>\u00a7 7: Rights and obligations of the members<\/b>\n<ol>\n<li>\nThe members are entitled to participate in all events of the association and to use the facilities of the association. The right to vote in the General Assembly as well as the right to vote and stand for election is reserved for ordinary and honorary members only.\n<\/li>\n<\/ol>\n<ol start=\"2\">\n<li>\nEach member is entitled to demand from the executive committee the delivery of the statutes.\n<\/li>\n<\/ol>\n<ol start=\"3\">\n<li>\nAt least one tenth of the members may request the convening of a general assembly by the board.\n<\/li>\n<\/ol>\n<ol start=\"4\">\n<li>\nIn each general meeting, the members are to be informed by the board about the activity and financial management of the association. If at least one tenth of the members request this, stating the reasons, the board has to give the members concerned such information within four weeks.\n<\/li>\n<\/ol>\n<ol start=\"5\">\n<li>\nThe members are to be informed by the Management Board about the audited financial statements (accounting). If this happens in the General Assembly, the auditors are to be involved.\n<\/li>\n<\/ol>\n<ol start=\"6\">\n<li>\nThe members are obliged to promote the interests of the association to the best of its ability and to refrain from anything that could damage the reputation and purpose of the association. They have to observe the statutes of the association and the decisions of the association organs. Ordinary and Extraordinary Members are obliged to pay in due time the membership fee and fees in the amount decided by the General Assembly.\n<\/li>\n<\/ol>\n<b>\u00a7 8: Association bodies<\/b>\nBodies of the association are the general assembly (\u00a7\u00a7 9 and 10), the executive committee (\u00a7\u00a7 11 to 13), the auditors (\u00a7 14) and the arbitrary tribunal (\u00a7 15).\n<b>\u00a7 9: General Assembly<\/b>\n<ol>\n<li>\nDie Generalversammlung ist die \u201eMitgliederversammlung&#8220; im Sinne des Vereinsgesetzes 2002. Eine ordentliche Generalversammlung findet<a href=\"#sdfootnote11sym\" name=\"sdfootnote11anc\"><sup>11<\/sup><\/a> .\n<\/li>\n<\/ol>\n<ol start=\"2\">\n<li>\nAn extraordinary general meeting will take place by\n<\/li>\n<\/ol>\n<ol type=\"a\">\n<li>\nResolution of the Executive Board or the Ordinary General Meeting,\n<\/li>\n<li>\nWritten request of at least one tenth of the members,\n<\/li>\n<li>\nRequest of the auditors (\u00a7 21 Abs. 5 first sentence VereinsG),\n<\/li>\n<li>\nResolution of the auditor (\u00a7 21 (5) second sentence of the VereinsG, \u00a7 11 (2) third sentence of these Articles of Association),\n<\/li>\n<li>\nDecision of a court-appointed curator (\u00a7 11 (2) last sentence of these statutes)\n<\/li>\n<\/ol>\nwithin four weeks.\n<ol start=\"3\">\n<li>\nSowohl zu den ordentlichen wie auch zu den au\u00dferordentlichen Generalversammlungen sind alle Mitglieder mindestens zwei Wochen vor dem Termin schriftlich, mittels Telefax oder per E-Mail (an die vom Mitglied dem Verein bekanntgegebene Fax-Nummer oder E-Mail-Adresse) einzuladen. Die Anberaumung der Generalversammlung hat unter Angabe der Tagesordnung zu erfolgen. Die Einberufung erfolgt durch den Vorstand (Abs. 1 und Abs. 2 lit. a &#8211; c), durch die\/einen Rechnungspr\u00fcfer (Abs. 2 lit. d) oder durch einen gerichtlich bestellten Kurator (Abs. 2 lit. e).\n<\/li>\n<\/ol>\n<ol start=\"4\">\n<li>\nApplications for the Annual General Meeting must be submitted in writing to the Executive Board at least three days before the date of the General Meeting, by fax or by e-mail.\n<\/li>\n<\/ol>\n<ol start=\"5\">\n<li>\nG\u00fcltige Beschl\u00fcsse &#8211; ausgenommen solche \u00fcber einen Antrag auf Einberufung einer au\u00dferordentlichen Generalversammlung &#8211; k\u00f6nnen nur zur Tagesordnung gefasst werden.\n<\/li>\n<\/ol>\n<ol start=\"6\">\n<li>\nAt the General Assembly all members are eligible. Only regular and honorary members are entitled to vote. Each member has one vote. The transfer of voting rights to another member by written proxy is permitted.\n<\/li>\n<\/ol>\n<ol start=\"7\">\n<li>\nThe General Assembly has a quorum regardless of the number of persons appearing.\n<\/li>\n<\/ol>\n<ol start=\"8\">\n<li>\nThe elections and the resolutions in the General Assembly are usually made by a simple majority of the valid votes cast. Resolutions, with which the statute of the association is to be changed or the association is to be dissolved, require however a qualified majority of two thirds of the delivered valid voices.\n<\/li>\n<\/ol>\n<ol start=\"9\">\n<li>\nThe presidency of the General Assembly is by the Chairman, in his absence his deputy . If this is also prevented, the oldest member of the board present presides.\n<\/li>\n<\/ol>\n<b>\u00a7 10: Tasks of the General Assembly<\/b>\nThe general meeting is reserved for the following tasks:\n<ol type=\"a\">\n<li>\nResolution on the estimate; \n<\/li>\n<li>\nReceiving and approving the statement of accounts and the financial statements with the involvement of the auditors;\n<\/li>\n<li>\nElection and removal of the members of the Board and the auditors;\n<\/li>\n<li>\nApproval of legal transactions between auditors and association;\n<\/li>\n<li>\nDischarge of the Management Board;\n<\/li>\n<li>\nDetermination of the amount of the application and membership fees for ordinary and extraordinary members;\n<\/li>\n<li>\nAwarding and withdrawing honorary membership;\n<\/li>\n<li>\nDetermination on amendments to the Statues of Association and the voluntary dissolution of the association;\n<\/li>\n<li>\nAdvice and decision on other questions on the agenda.\n<\/li>\n<\/ol>\n<b>\u00a7 11: Board<\/b>\n<ol>\n<li>\nThe board consists of six members, namely the chairman and his\/her deputy, the secretary and his\/her deputy, as well as the treasurer and his\/her deputy.<a href=\"#sdfootnote12sym\" name=\"sdfootnote12anc\"><sup>12<\/sup><\/a>.\n<\/li>\n<\/ol>\n<ol start=\"2\">\n<li>\nThe board is elected by the general assembly. In the event of the departure of an elected member, the Board of Management has the right to co-opt in its place another eligible member, which requires the subsequent approval in the next General Assembly. If the Executive Board fails to self-supplement by co-opting at all or for an unpredictably long time, then each auditor is obliged to convene without delay an Extraordinary General Meeting for the purpose of electing a new Board. Should the auditors also be incapacitated for action, every ordinary member who recognizes the emergency situation must immediately apply for the appointment of a curator to the competent court, who must immediately convene an extraordinary general meeting.\n<\/li>\n<\/ol>\n<ol start=\"3\">\n<li>\nThe term of office of the Management Board is 2 years; Re-election is possible. Each function on the board is to be exercised personally.<a href=\"#sdfootnote13sym\" name=\"sdfootnote13anc\"><sup>13<\/sup><\/a> .\n<\/li>\n<\/ol>\n<ol start=\"4\">\n<li>\nThe Board is called in writing or verbally by the chairman, if he\/she is abscent by his \/ her deputy. If this is also prevented for an unpredictably long time, any other member of the board may call in the board.\n<\/li>\n<\/ol>\n<ol start=\"5\">\n<li>\nThe board has a quorum when all its members have been invited and at least half of them are present.\n<\/li>\n<\/ol>\n<ol start=\"6\">\n<li>\nThe Board of Directors passes its resolutions by a simple majority of votes; in case of a tie, the vote of the chairman is the decisive factor.\n<\/li>\n<\/ol>\n<ol start=\"7\">\n<li>\nThe board is lead by the chairman, if he\/she is unable to do so,by his \/ her deputy. If this is also prevented, the chairmanship is incumbent on the member of the board who is the oldest admitting member or by a member of the board whom is elected the remaining members of the Board to do so.\n<\/li>\n<\/ol>\n<ol start=\"8\">\n<li>\nApart from the death and expiry of the term of office (section 3), the function of a member of the Executive Board expires by means of dismissal (section 9) and resignation (section 10).\n<\/li>\n<\/ol>\n<ol start=\"9\">\n<li>\nThe General Assembly may at any time withdraw the entire Board or any of its members. The removal takes effect with the appointment of the new Board or Board member.\n<\/li>\n<\/ol>\n<ol start=\"10\">\n<li>\nThe members of the Board can at any time declare their resignation in writing. The declaration of resignation is to be directed to the Board, in the event of the resignation of the entire Board to the General Meeting. The resignation becomes effective only with choice or co-opting (paragraph 2) of a successor.\n<\/li>\n<\/ol>\n<b>\u00a7 12: Tasks of the Board<\/b>\nDem Vorstand obliegt die Leitung des Vereins. Er ist das \u201eLeitungsorgan&#8220; im Sinne des Vereinsgesetzes 2002. Ihm kommen alle Aufgaben zu, die nicht durch die Statuten einem anderen Vereinsorgan zugewiesen sind. In seinen Wirkungsbereich fallen insbesondere folgende Angelegenheiten:\n<ol>\n<li>\nEstablishment of an accounting system conforming to the requirements of the association with a regular record of income \/ expenditure and the maintenance of a list of assets as a minimum requirement;\n<\/li>\n<li>\nPreparation of the annual budget, the annual report and the clearance of accounts;\n<\/li>\n<li>\nVorbereitung und Einberufung der Generalversammlung in den F\u00e4llen des \u00a7 9 Abs. 1 und Abs. 2 lit. a &#8211; c dieser Statuten;\n<\/li>\n<li>\nInforming the club members about the activities of the association, the association and the audited accounts;\n<\/li>\n<li>\nAdministration of the association's assets;\n<\/li>\n<li>\nAdmission and exclusion of ordinary and extraordinary members of the association;\n<\/li>\n<li>\nAdmission and termination of employees of the association.\n<\/li>\n<\/ol>\n<b>\u00a7 13: Special Obligations of Individual Members of the Management Board<\/b>\n<ol>\n<li>\nThe chairman leads the current affairs of the association. The secretary supports the chairman in the management of the association's business.\n<\/li>\n<\/ol>\n<ol start=\"2\">\n<li>\nDer\/die Obmann\/Obfrau vertritt den Verein nach au\u00dfen. Schriftliche Ausfertigungen des Vereins bed\u00fcrfen zu ihrer G\u00fcltigkeit der Unterschriften des\/der Obmanns\/Obfrau und des Schriftf\u00fchrers\/der Schriftf\u00fchrerin, in Geldangelegenheiten (verm\u00f6genswerte Dispositionen) des\/der Obmanns\/Obfrau und des Kassiers\/der Kassierin. Rechtsgesch\u00e4fte zwischen Vorstandsmitgliedern und Verein bed\u00fcrfen der Zustimmung eines anderen Vorstandsmitglieds.\n<\/li>\n<\/ol>\n<ol start=\"3\">\n<li>\nLegal proxy authorizations to represent the association to the outside or to sign for it can only be granted by the members of the management board mentioned in section 2.\n<\/li>\n<\/ol>\n<ol start=\"4\">\n<li>\nIn the event of imminent danger, the chairman is entitled to make independent orders under his own responsibility, including matters falling within the scope of the General Assembly or the Executive Board; in the internal relationship, however, these require the subsequent approval of the competent association body.\n<\/li>\n<\/ol>\n<ol start=\"5\">\n<li>\nThe chairman presides over the general assembly and the Board.\n<\/li>\n<\/ol>\n<ol start=\"6\">\n<li>\nThe secretary keeps the minutes of the General Assembly and of the Board.\n<\/li>\n<\/ol>\n<ol start=\"7\">\n<li>\nThe cashier is responsible for the proper financial management of the association.\n<\/li>\n<\/ol>\n<ol start=\"8\">\n<li>\nIn the case of prevention, the chairman, the secretary or the treasurer will be taken place by his\/her subsequent deputy.\n<\/li>\n<\/ol>\n<b>\u00a7 14: Auditors<\/b>\n<ol>\n<li>\nTwo auditors are elected by the General Assembly for a term of two years. Re-election is possible. The auditors do not have to belong to any body except the General Assembly whose activity is the subject of the audit.<a href=\"#sdfootnote14sym\" name=\"sdfootnote14anc\"><sup>14<\/sup><\/a>zwei Jahren gew\u00e4hlt. Wiederwahl ist m\u00f6glich. Die Rechnungspr\u00fcfer d\u00fcrfen keinem Organ &#8211; mit Ausnahme der Generalversammlung &#8211; angeh\u00f6ren, dessen T\u00e4tigkeit Gegenstand der Pr\u00fcfung ist.\n<\/li>\n<\/ol>\n<ol start=\"2\">\n<li>\nThe auditors are responsible for the day-to-day business control as well as the audit of the financial management of the association with regard to the regularity of accounting and the use of funds in accordance with the articles of association. The Management Board must provide the auditors with the necessary documents and provide the required information. The auditors shall report to the Board on the result of the audit.\n<\/li>\n<\/ol>\n<ol start=\"3\">\n<li>\nRechtsgesch\u00e4fte zwischen Rechnungspr\u00fcfern und Verein bed\u00fcrfen der Genehmigung durch die Generalversammlung. Im \u00dcbrigen gelten f\u00fcr die Rechnungspr\u00fcfer die Bestimmungen des \u00a7 11 Abs. 8 bis 10 sinngem\u00e4\u00df.\n<\/li>\n<\/ol>\n<b>\u00a7 15: Arbitration<\/b>\n<ol>\n<li>\nZur Schlichtung von allen aus dem Vereinsverh\u00e4ltnis entstehenden Streitigkeiten ist das vereinsinterne Schiedsgericht berufen. Es ist eine \u201eSchlichtungseinrichtung&#8220; im Sinne des Vereinsgesetzes 2002 und kein Schiedsgericht nach den \u00a7\u00a7 577 ff ZPO.\n<\/li>\n<\/ol>\n<ol start=\"2\">\n<li>\nDas Schiedsgericht setzt sich aus drei ordentlichen Vereinsmitgliedern zusammen. Es wird derart gebildet, dass ein Streitteil dem Vorstand ein Mitglied als Schiedsrichter schriftlich namhaft macht. \u00dcber Aufforderung durch den Vorstand binnen sieben Tagen macht der andere Streitteil innerhalb von 14 Tagen seinerseits ein Mitglied des Schiedsgerichts namhaft. Nach Verst\u00e4ndigung durch den Vorstand innerhalb von sieben Tagen w\u00e4hlen die namhaft gemachten Schiedsrichter binnen weiterer 14 Tage ein drittes ordentliches Mitglied zum\/zur Vorsitzenden des Schiedsgerichts. Bei Stimmengleichheit entscheidet unter den Vorgeschlagenen das Los. Die Mitglieder des Schiedsgerichts d\u00fcrfen keinem Organ &#8211; mit Ausnahme der Generalversammlung &#8211; angeh\u00f6ren, dessen T\u00e4tigkeit Gegenstand der Streitigkeit ist.\n<\/li>\n<\/ol>\n<ol start=\"3\">\n<li>\nThe arbitrary tribunal makes its decision to grant mutual recognition in the presence of all its members by a simple majority vote. It decides to the best of my knowledge and belief. Its decisions are final.\n<\/li>\n<\/ol>\n<b>\u00a7 16: Voluntary dissolution of the association<\/b>\n<ol>\n<li>\nThe voluntary dissolution of the association can only be decided in a general assembly and only by a two-thirds majority of the valid votes cast.\n<\/li>\n<\/ol>\n<ol start=\"2\">\n<li>\nDiese Generalversammlung hat auch &#8211; sofern Vereinsverm\u00f6gen vorhanden ist &#8211; \u00fcber die Abwicklung zu beschlie\u00dfen. Insbesondere hat sie einen Abwickler zu berufen und Beschluss dar\u00fcber zu fassen, wem dieser das nach Abdeckung der Passiven verbleibende Vereinsverm\u00f6gen zu \u00fcbertragen hat.
